Overview

Our areas of specialty include consulting in the purchase or sale of a business, shareholder disputes requiring the buyout of a dissenting equity holder, and valuations required to raise equity financing.

We specialize in servicing the manufacturing, distribution, and information technology industries. We perform due diligence audits on financial statements, as well as due diligence on business operations, evaluating sales, marketing, production, and management prior to the purchase or sale of a business. These services provide a full assessment of value, risk, and rate of return.

We specialize in purchase price allocation for merger or acquisitions and subsequent impairment of goodwill or other tangibles a year after the acquisition date in compliance with FASB §141, 142 and 144 mandated by the Financial Accounting Standards board. We also specialize in equity based compensation and cheap stock issued as deferred compensation (IRS 409A). Another area of expertise is valuing hybrid securities involving convertible features and warrants attached to hybrid securities and common stock.

Our audits and review of financial statements help clients get equity or debt financing which usually exceed our clients' expectations.

There are three reasons why you should do business with us:

- 25% to 33 1/3% faster than large local, national or regional valuation firms

- A fee structure that is more reasonable than the above firms with the same or higher quality

- 20% to 50% of our valuations achieve results in excess of our clients' expectations

An example is one client received $12 million for selling 60% of his business within 60 days after signing the Letter of Intent to acquire his business.

One case involved a dissenting shareholder 33 1/3% request for a valuation because the controlling shareholder wanted to buy his interest at a discount. Within 3 months the case was settled and my client received $150,000 more than he expected because the company was financially in better shape and there are no discounts in California for this type of transaction.

A third case involved a 90% shareholder gifting 200,000 shares of stock to a qualified charity receiving a tax deduction that eliminated most of his personal income tax liability within 3 weeks of us receiving the engagement and his accountant filing the tax return. On the audit or review of financial statements our clients 98% of the time get the lines of credit, sales price or debt or equity financing they need to consummate their transaction.
